UDS Data Systems Limited – Employee code of Conduct
The following guidelines set out the standard of conduct and behavior expected of all employees:
- Prevention of Bribery Ordinance Legal Provisions
Any employee who solicits or accepts an advantage in connection with his work, without the permission of the employer, commits an offence under section 9 of the Prevention of Bribery Ordinance (Chapter 201 of the Laws of Hong Kong; “POBO”). The term “advantage” is defined in the POBO and includes gift (both of money and in kind), loan, fee, employment, contract, service, favor (such as discount) etc.
- Solicitation of Advantages
It is the policy of the Company that any employee is NOT allowed to solicit any advantages when conducting business on behalf of the Company.
- Acceptance of Advantages
The Company does not allow its employees to accept any gift or other advantages, including discount, passage, service, favor or loan, from the organizations with which the Company has business dealings without prior written permission of (name and/or rank of a nominated officer). If the acceptance of an advantage is unavoidable for reasons of courtesy, an employee must report the acceptance to (name and/or rank of a nominated officer) for disposal or retrospective permission.
- Offering of Advantages
Directors and employees of the Company are prohibited from offering advantages to any director, or staff member or agent of any company or organization or Government officials, for the purpose of influencing such person or company or Government officials in any dealings, or any public official, whether directly or indirectly through a third party, when conducting the business of the Company.
- Outside Employment
Employee must obtain prior written approval from the Company before they take up any outside work/employment which may give rise to an actual or perceived conflict of interest.
- Conflict of Interest
A conflict of interest arises when an employee’s own personal or financial interests compete or conflict with the interests of the Company. It is the duty of all employees to act in the interest of the Company and to avoid any actual or perceived conflict of interest. It is also a requirement that an employee shall declare to the Company any actual or perceived conflict of interest in undertaking work on behalf of the Company. All declarations shall be made in writing to (name and/or rank of a nominated person) and the employee shall then follow the Company’s instructions.
- Confidentiality of Information
Any employee must not make any unauthorised disclosure of any confidential or privileged information made available to him in the course of his work for a Government bureau/department. Any such unauthorised disclosure of the confidential or restricted information of Government departments may constitute a criminal offence or result in termination of services.
- Acceptance of Entertainment
Although entertainment (the provision of food or drink for consumption on the occasion when it is provided, and of any other entertainment connected with, or provided at the same time as such provisions) as defined in the POBO is not an advantage, employees shall avoid accepting lavish or unreasonably generous or frequent entertainment from a person with whom the Company has business dealings. As a general rule, an employee shall not accept entertainment from any person if the entertainment is likely to: cause embarrassment to him in the discharge of his duties; make him feel obliged to the person offering it; or bring either himself or the Company into disrepute.
- Gambling
The Company does not permit its employees to gamble while on duty or in any premises of a Government bureau/department or the Company. Employees shall avoid engaging in frequent, excessive or high stake gambling of any kind with person with whom the Company has business dealings.
Compliance with the Code of Conduct
Any employee who is found to have breached the Code of Conduct will be liable to disciplinary action which may result in termination of employment. If there is corruption or bribery, the case will be referred to the Independent Commission Against Corruption (ICAC) for investigation under the POBO.

- Protect society, the common good, necessary public trust and confidence, and the infrastructure.
- Act honorably, honestly, justly, responsibly, legally and withhold the highest standard of integrity.
- Provide diligent and competent service to principals.
- Support the implementation of, and encourage compliance with, appropriate standards and procedures for the effective governance and management of enterprise information systems and technology, including audit, control, security and risk management.
- Perform their duties with objectivity, due diligence and professional care, in accordance with professional standards.
- Maintain the privacy and confidentiality of information obtained during their activities unless disclosure is required by legal authority. Such information shall not be used for personal benefit or released to inappropriate parties.
- Maintain competency in their respective fields and agree to undertake only those activities they can reasonably expect to complete with the necessary skills, knowledge and competence.
- Inform appropriate parties of the results of work performed including the disclosure of all significant facts known to them that, if not disclosed, may distort the reporting of the results.
- Support the continuous professional education in enhancing their understanding of the governance and management of enterprise information systems and technology, including audit, control, security and risk management.
